YEAR EVENTS 1975 - The Company was Incorporated and converted into a public limited company on 5th March. - The Company's object is to manufacture generators/alternators, starter motors, voltage regulators and components thereof and head lamps. - The Company was promoted by Bhupinder Singh Sahney and his family in technical and financial collaboration with Paris-Rhone S.A. of France. - The company entered into a technical and financial collaboration with Paris-Rhone S.A., France under which they subscribed to equity capital of the Company to the extent of Rs.16.50 lakhs (28.7%). They also agreed to provide complete technical know-how drawings, designs and technical documentation for the manufacture of generators/alternators, starter motors and voltage regulators. 1979 - 1,65,000 shares taken up by promoters, directors etc. and 1,65,000 shares subscribed for by Paris-Rhone S.A. France. 12,500 pref. and 2,45,000 No. of equity shares offered at par to to the public in December 1978. Pref. shares redeemable after 12 years but before 15 years from the date of allotment. 20 Pref. and 48,350 No. of equity shares forfeited. 1983 - The Company entered into a technical collaboration with the Paris-Rhone S.A., France, for the introduction of the latest and most modern design of products at a new plant to be set up at Dharuhera in Haryana. - Government then gave its approval to the second Dharuhera plant at Haryana in collaboration with Paris-Rhone S.A., France. It had obtained registration from the Government of India to manufacture motor assemblies and small motors at Haryana with the existing collaboration of EA Marchal, France. 1987 - The Company made reference to BIFR under the Sick Industrial Companies (Sp. Provisions) Act, 1985. 1988 - BIFR had in its hearing directed IDBI to formulate a package for rehabilitation. 1992 - 2,00,000 No. of equity shares allotted on conversion of unsecured loans of promoters. 12,500 shares were to be redeemed on 15th February could not be redeemed as per company law board's order fresh 33,125 shares allotted redeemable on 15th February, 1995. 1994 - The Company proposed to modernise and expand manufacturing capacity and improve its R&D facilities in order to cater to the increased demand. A new manufacturing unit was set up in Pondicherry. - 12,500 - 11% cumulative redeemable preference shares were to be redeemed on 15th February, 1992 but could not be redeemed. As per Company's Law Board's Order, fresh 33,125 - 11% cumulative redeemable preference shares were allotted. These are to be redeemed on 15th February 1995. - 2,00,000 No. of equity shares issued. 2001 - Allotment of 3,00,000 cumulative non-convertible redeemable preference shares of Rs 100 each fully-paid on private placement basis to Mr. B.S. Sahney and family. Allot 3,87,428 No. of equity shares of Rs 10 each fully paid to the foreign collaborator, Delco Remy America/Remy India Holdings, at a premium of Rs 34.15 per share as per SEBI guidelines. 2006 -Company has changed its name from Delco Remy Electricals India Ltd. to Remi Electricals India Ltd. 2008 - Company name has been changed from Remy Electricals India Ltd to REIL Electricals India Ltd. 2010 -REIL Electricals India Recommended payment of dividend on equity shares at Rs. 3/- 2011 -REIL Electricals India Recommended payment of dividend on equity shares at Rs. 3/- 2012 -REIL Electricals India has recommended a dividend of Rs. 3.00 per share of face of Rs. 10/- each. --Registered Office of the Company has been shifted to No.8-2-409, Road No.6, Banjara Hills, Hyderabad - 500034 2013 -Board has recommended a dividend of Rs. 3.00 per share of face of Rs. 10/- each.
