While both companies have spoken a lot about using the same delivery fleet, the immediate priority is to integrate the backend. This helps reduce costs significantly for Blinkit as the joint entity can not only bring down the procurement costs due to economies of scale but also share resources like backend fleet and manpower. Fulfilment centres are large warehouses that provide supplies to dark stores across cities and Blinkit typically has one fulfilment centre in each city. As of now, integration with Hyperpure is underway or already complete in Mumbai, Jaipur, Hyderabad, Pune, Ahmedabad and Kolkata as well – If the integration between Zomato and Blinkit goes well, the company can reduce the cost significantly. This would lower the cash burn for Blinkit going ahead and make it more competitive in quick commerce space. We do not have any view on Zomato.

Zomato plans to start integrating Blinkit on multiple fronts after approval of the proposed acquisition. It will acquire 33,018 equity shares of Blink Commerce and will allot 62.85 crore shares at price of Rs 70.76 apiece as consideration other than cash. Once the transaction closes, the priorities would be customers and delivery fleet integration. Zomato may consider moving Blinkit to the Zomato app. Zomato expects both the target group as well as ad revenue potential of Blinkit to be greater than that of its food delivery business. The company said the markdown in Blinkit’s valuation was due to macroeconomic factors – positive read-thru as the addressable market of Zomato will increase.
