The Company was incorporated on July 1, 2008 in Ludhiana, Punjab, India under the Companies Act 1956 as a public limited company, under the name `Monte Carlo Fashions Limited' with the RoC. The Company received its certificate for commencement of business on July 28, 2008. The Company was incorporated as a subsidiary of OWML. Subsequently, pursuant to the scheme of arrangement and demerger with OWML as approved by the Punjab and Haryana High Court, through an order dated May 20, 2011, the business carried out by OWML, comprising the processes of manufacturing, buying, selling, and dealing in knitted and hosiery garments, woollen garments, cotton garments, franchisee network and other businesses were transferred from OWML to the Company, with effect from April 1, 2011 and the Company ceased to be a subsidiary of OWML.
