YEAR EVENTS 1985 - The Company was Incorporated on 13th December at Chennai. It was proposed by G. Varadaraj of the Rajshres group, Mydur Anand, R. P. Venugopla and Ms. Rajshres Pathy. The company undertook to set up a sugar plant to crush 2500 TPD of cane and production of 250 TPD of sugar. 1990 - 6,550 No. of shares subscribed for by signatories to the Memorandum of Association. 95,43,450 No. of equity shares of Rs 10 each were issued for cash at par of which the following were reserved for allotment on a firm basis: (i) 36,66,250 No. of shares to promoters, their associates, etc. (ii) 11,07,200 No. of shares to NRIs on repatriation basis. (iii) 5,00,000 shares to SBI Mutual Fund and (iv) 2,50,000 shares to UTI. Of the remaining 4,77,500 shares were reserved for allotment on a preferential basis to employees. Of the Company and promoter companies (only 2,36,200 shares taken up). The remaining 35,22,500 shares along with 2,41,300 shares not taken up by employees' were issued for public subscription during September, 1989 (all were taken up). Additional 9,90,850 shares were allotted to retain oversubscription (1,28,350 shares to promoters and 8,62,500 shares to the public). 1991 - The Company received a letter of intent for establishing a distillery unit with an installed capacity of 12,000 KLS per annum of industrial alcohol. Government allotted mollasess for the proposed distillery unit. 1992 - During October-November the Company offered 1,05,850 equity shares of Rs 10 each on Rights basis in the proportion 1:1. 1993 - 105,40,850 No. of equity shares of Rs 10 each for cash at par allotted to the shareholders on rights basis in the ratio of 1:1. 1995 - The Company has successfully implemented first phase of the project to implement a co-generation system with an installed capacity of 12 MW with an additional 3MW as standby. 1996 - The Company has acquired Assets relating to the Textile Mill from Rajshree Spinning Mills Ltd. for an aggregate consideration of Rs 19.72 crores. - 16,10,000 No. of equity shares of Rs 10 each at par allotted to Financial Institution on conversion of loans. 2000 - The Company has entered into an agreement for sale of the Textile Division pursuant to the resolution under section 293(1)(a). 2003 -Rajshree Sugars & Chemicals Ltd has informed the that Mr. R Varadaraj has been appointed as an additional Director of the Company w.e.f. June 6, 2003. 2004 -Delists Shares from Delhi, Ahmedabad & Madras Stock Exchanges 2010 - Rajshree Sugars & Chemicals Ltd has appointed Dr. K. Mohan Naidu as Director of the Company at the Board Meeting held on May 17, 2010. 2011 -Mr. R S Gowdhaman has been appointed as the Company Secretary and Compliance Officer of the company. 2012 - Rajshree Sugars & Chemicals Ltd has granted stock options, under the Employee Stock Option Plan 2012 of the Company to the employees exercisable into same number of Equity Shares of the Company in due course.
