The Company was originally incorporated as a private limited company under the Companies Act, 1956 on December 23, 2005 with the name Shemaroo Holdings Private Limited. Subsequently, pursuant to a Scheme of Arrangement approved by the Hon'ble High Court of Bombay vide its order dated March 7, 2008 and by a special resolution of the shareholders dated May 28, 2008, the name of the Company was changed to Shemaroo Entertainment Private Limited and a fresh certificate of incorporation consequent to the change of name was granted on June 3, 2008 by the RoC.
