Company Info

The Company was incorporated on May 11, 1988 at Mumbai as Varroc Engineering Private Limited, a private limited company under the provisions of the Companies Act, 1956. On July 1, 1997, the Company was converted into a deemed public company under section 43A (1A) of the Companies Act, 1956 and the word "Private" was deleted from the name of the Company. Thereafter, on January 24, 2001 the Company was converted into a private company under section 43A (2A) of the Companies Act, 1956 and the word "Private" was added to the name of the Company. Subsequently, the Company was converted into a public limited company pursuant to approval of the Shareholders at an extraordinary general meeting held on January 25, 2018. On February 5, 2018, the name of the Company was changed to Varroc Engineering Limited and a fresh certificate of incorporation consequent upon conversion to a public limited company was issued to the Company by the RoC.Major events and milestones of the Company2005- Formed Varroc Exhaust Systems Private Limited to manufacture catalytic convertor for twowheelers and three-wheelers2007- Formed a joint venture with Plastic Omnium Auto Exterior SAS, France- Acquired I.M.E.S., Italy2008- Entered into a composite scheme of arrangement between Varroc Lighting Private Limited ("VLPL"), VPPL and the Company whereby VLPL was amalgamated with the Company and the polymer business of the Company was demerged into VPPL2011- Acquired two-wheeler lighting business of TRI.O.M.
