Our Company was incorporated as `Atlanta Electricals Private Limited' as a private limited company under the Companies Act, 1956 pursuant to a certificate of incorporation dated December 15, 1988, issued by the Registrar of Companies, Gujarat, Dadra and Nagar Haveli at Ahmedabad. Upon the conversion of our Company into a public limited company, pursuant to a board resolution dated March 18, 1996, and a shareholders' resolution dated April 2, 1996, the name of our Company was changed to "Atlanta Electricals Limited", and a fresh certificate of incorporation dated April 10, 1996, was issued by the RoC. Pursuant to a board resolution dated February 21, 2003, and a shareholders' resolution dated March 17, 2003, our Company was converted into a private limited company and consequently, the name of our Company was changed to "Atlanta Electricals Private Limited", and a fresh certificate of incorporation dated March 31, 2003, was issued by the RoC.
