SIL obtained certificate of Commencement of Business pursuant to Section 149(3) of the Companies Act, 1956 from the Registrar of Companies, West Bengal vide certificate dated 4th January, 1978. The Company is registered under companies Act, 1956 with registration no. 031241 of 1977. SIL was formed with an object to carry on the business of investment in shares & securities etc. and obtained registration with RBI as a Non-Banking Financial Company (`NBFC') vide certificate no. B-05.06565 dated 11th July, 2005. Our CIN no. is L6599WB1977PLC031241. The registered office of our company is situated at Sagar Estate, 2 Clive Ghat Street, 2nd floor, Room no. 16, Kolkata-700 001. The Company came out with its initial public offering in the year 1978 and obtained listing on CSE. In the year 1999, as a part of corporate restructuring, a scheme of Amalgamation (Amalgamation Scheme-I) was proposed for merger of RGF Builders & Investment Pvt. Ltd.(RGFBIPL) and RGF Overseas Pvt. Ltd (RGFOPL) with our company. The scheme of amalgamation was approved by honourable High Court of Calcutta, pursuant to the amalgamation scheme I, shareholders of RGFBIPL have been allotted one share of our company against five shares of RGFBIPL and shareholders of RGFOPL have been allotted one share of our company against five shares of RGFOPL. Further in the year 2005, a scheme of Amalgamation (Amalgamation Scheme-II) was proposed for merger of Mayurakshi Trading Pvt. Ltd. (MTPL) with our company and was approved by honourable High Court of Calcutta, pursuant to the amalgamation scheme II, shareholders of Mayurakshi Trading Pvt. Ltd. have been allotted twenty five equity shares of our company against one shares of MTPL.
