    18 Jul 2023 , 10:25AM The company acquired 94.6% stake in Kurlon Enterprise Limited (KEL) and a 35% stake in Furlenco owner House of Kieraya Pvt Ltd. It is acquiring 94.66% of KEL at an equity valuation of Rs2035 crore (for 100% stake is Rs2150crore), subject to customary adjustments for working capital, debt and surplus cash and acquiring 35% stake in Furlenco for a cash consideration of around Rs300crore (equity valuation for 100% stake is Rs857crore). The company acquired KEL at deal valuation of 2.1x and Furlenco at deal valuation of 5.6x. It will fund the acquisition with mix of internal accruals, equity infusion and debt (current debt on books is around Rs571crore). The acquisition of Kurlon will help consolidate the existing fragmented market of mattresses and foam based products. It will further diversify Sheela Foam’s existing customer base into Southern and Eastern regions of India. With this acquisition, Sheela Foam will have a combined market share of around 21% in the mattress market in India. The Furlenco deal will help Sheela Foam to enter the fast-growing branded furniture and furniture rental market, and an opportunity to further diversify its presence even in the furniture sales market and become a full portfolio company in the segment.

Company Info

The Company was originally incorporated as a private limited company under the Companies Act, 1956 pursuant to a certificate of incorporation issued by the RoC dated June 18, 1971 at Delhi with the name `Sheela Foam Private Limited'. the Company became a deemed public limited company under Section 43A (1A) of Companies Act, 1956 on July 1, 1989 and was restored to its status of private limited company with effect from November 30, 1990 as per Section 43A (4) of the Companies Act, 1956. the Company was converted to a public limited company pursuant to a special resolution of the shareholders dated April 30, 2016 and the name of the Company was changed to `Sheela Foam Limited', to reflect the legal status of the Company pursuant to a fresh certificate of incorporation granted by the RoC on June 6, 2016. In order to reorganise the group structure to subsume similar and complementary business lines of the subsidiaries and associates within the business, we have, on three instances, effected mergers of certain of the subsidiaries and associates with the Company through schemes of amalgamation under sections 391 to 394 of the Companies Act, 1956 sanctioned by the High Cthet of Delhi. In Fiscal Year 2003, three of the erstwhile wholly owned subsidiaries, namely Feather Foam Enterprises Private Limited, Soft Foam Industries Private Limited and Pallavi Foam Industries Private Limited, which were involved in similar lines of business as thes, merged with us. Subsequently, in Fiscal Year 2011, Serta India Private Limited, a subsidiary company were merged with the Company. Furthermore, in Fiscal Year 2013, five of the erstwhile subsidiaries, namely SNB Bedding International Private Limited, Starlite India Private Limited, RG Pillow (India) Private Limited, Kanpav Overseas Private Limited and Auora Foams Private Limited, merged with the Company.
